Terms and Conditions of Use

1. Definitions

• InflueX: The platform that connects Creators with Campaign Hosts for content-based marketing collaborations.
• Creator: An individual who creates and posts content for campaigns.
• Campaign Host: A brand or individual who launches a marketing campaign via InflueX.
• Campaign: A brief initiated by a Host outlining the desired content, platforms, budget, and performance metrics.
• User: Any registered party on the InflueX platform, including both Creators and Campaign Hosts.

2. Eligibility

You must be at least 16 years old to register as a Creator and at least 18 years old to launch a campaign as a Host. By using the platform, you confirm that you meet these age requirements and have the legal authority to enter into these Terms.

3. Account Registration

• Users must provide accurate and complete information.
• Each user is responsible for maintaining the confidentiality of their login credentials.
• You are responsible for all activity under your account.

4. Creator Terms

4.1 Participation in Campaigns

• Creators may apply to active campaigns or be invited directly.
• Participation is voluntary and based on campaign requirements (e.g., platform, content style, niche).

4.2 Content Guidelines

• Content must meet the brief provided by the Campaign Host.
• All content must be original, legal, and non-infringing.
• You grant InflueX and the Host a royalty-free license to use submitted content for promotional and analytical purposes.

4.3 Performance-Based Payouts

• Creators are paid based on agreed performance metrics (e.g., views, likes, shares).
• Fraudulent activity (e.g., bot traffic) will result in withheld payments and possible account termination.
• Payouts are processed monthly via the Creator's selected payment method. A valid ID and tax information may be required.

5. Campaign Host Terms

5.1 Campaign Creation

• Hosts set budget, content requirements, platforms (TikTok, Instagram, etc.), and campaign duration.
• InflueX reserves the right to reject campaigns that violate platform guidelines or promote harmful content.

5.2 Payments and Budget Allocation

• Hosts must pre-fund campaigns via credit card, bank transfer, or other supported methods.
• Funds are held securely and only released to Creators whose content meets performance thresholds.

5.3 Analytics and Results

• Hosts receive access to performance dashboards in real-time.
• InflueX does not guarantee specific campaign outcomes or virality.

6. Intellectual Property

• All content created remains the intellectual property of the Creator, unless a full rights transfer is explicitly agreed upon.
• Campaign Hosts and InflueX are granted a non-exclusive, royalty-free license to use the content for promotion and analytics.

7. Prohibited Activities

Users may not:

• Engage in fraudulent or manipulative behavior (e.g., fake engagement).
• Use bots or third-party tools to inflate performance metrics.
• Post illegal, offensive, or infringing content.
• Attempt to circumvent InflueX systems or misuse the platform.
• Solicit users off-platform for similar services without permission.

8. Account Suspension & Termination

InflueX reserves the right to:

• Suspend or terminate accounts that violate these Terms.
• Withhold payments or refunds in cases of fraud or breach.
• Remove campaigns or content at its sole discretion.

9. Limitation of Liability

InflueX provides its services on an "as-is" basis and disclaims all warranties. We are not liable for:

• Lost profits or business opportunities.
• Platform outages or technical issues.
• Disputes between users.
• Content that fails to perform.

10. Privacy

Your use of InflueX is subject to our Privacy Policy, which outlines how we collect, use, and protect your personal data. By using the platform, you consent to this policy.

11. Modifications to Terms

InflueX may update these Terms periodically. Continued use of the platform constitutes acceptance of any revised Terms. Users will be notified via email or platform alerts of significant changes.

12. Governing Law

These Terms shall be governed by and interpreted in accordance with the laws of the Netherlands. Any disputes shall be resolved in the courts of Amsterdam.
